Nightflame — General Risk Disclosures
Review the main legal and operational risks associated with using NightFlame services, digital assets, and token-gated access.
Important: This Risk Disclosure Statement (the “Statement”) offers a general overview of risks associated with using services offered by Nightflame and its affiliates (the “Services”). It is provided for awareness only and does not constitute investment, legal, accounting, or tax advice. Nothing herein is a recommendation or an offer to buy, sell, or hold any asset.
Scope and Audience
The risks summarized below are not exhaustive. Digital assets are novel and can be highly volatile. You should conduct your own research and make independent assessments of suitability in light of your experience, objectives, financial resources, and risk tolerance. The Services may include (without limitation) wallet-based access controls (token gating) on the Solana network, optional third-party account linking (e.g., Discord role connections), and embedded third-party media.
Definitions
“Nightflame,” “we,” “us,” “our” means Nightflame and/or its relevant operating affiliates or service providers. “User,” “you,” “your” means any person or entity using the Services.
General Warning
Interacting with digital assets (including acquiring, holding, transferring, or using them to access token-gated content) may result in partial or total loss of funds. Prices and on-chain conditions can change rapidly and unpredictably. Only participate with funds you can afford to lose. Nightflame does not custody your private keys and cannot reverse blockchain transactions or recover assets sent to the wrong address.
Key Risks
1) Digital Assets Are Not Legal Tender
Most crypto assets are not legal tender and are not backed by a government or central bank. Acceptance of crypto assets for payments can vary by jurisdiction and merchant and may change over time.
2) Price Volatility & Loss of Value
Crypto assets can experience extreme price swings. There may be limited or no fundamental basis for valuation, and future performance is uncertain. Rapid price moves can lead to significant losses.
3) Liquidity & Market Access Risk
Markets for certain assets may have thin liquidity, especially during stress events. You may be unable to enter or exit positions at expected prices, or at all. Nightflame does not operate an exchange; any trading you undertake is typically via third-party venues subject to their own risks, fees, and terms.
4) Market Integrity & Conduct Risks
Crypto markets can be susceptible to speculation, manipulation, scams, and fraud. You should remain cautious and perform independent verification when interacting with platforms, protocols, or counterparties.
5) Blockchain, Smart Contract & Protocol Risk
Blockchains and token programs rely on complex software and cryptography. Bugs, design flaws, exploits, oracle failures, censorship, network congestion, or chain reorgs can impair access to assets or cause losses. Transactions are typically irreversible once confirmed.
6) Cybersecurity & Wallet Security Risk
Users may be targeted by malware, phishing, address spoofing, SIM swaps, or other attacks. Always verify URLs and addresses, secure private keys and seed phrases, and employ strong operational security. If your wallet or device is compromised, your assets and access to token-gated Services may be compromised.
7) Wallet Connection & Message Signing Risk
Certain Services may require you to connect a wallet and sign a message to prove control of a wallet address. Signing the wrong message or connecting to a malicious site may expose you to loss (including by authorizing unintended actions). You should review wallet prompts carefully and never share seed phrases or private keys.
8) Token-Gated Access & Eligibility Risk
Access to certain Services may depend on holding a minimum balance of SOL or a specific SPL token (or token-2022 asset). Eligibility can change as your wallet balance changes (including due to transfers, burns, freezes, airdrops, clawbacks, or other token mechanics), or due to changes in the configured access criteria. Access checks may fail if the relevant network, RPC providers, or infrastructure is degraded.
9) Infrastructure, RPC & Data Accuracy Risk
Balance checks and other on-chain lookups rely on third-party infrastructure (e.g., Solana RPC endpoints) and may use caching or stale-while-revalidate techniques to reduce load. As a result, displayed balances, eligibility status, or verification outcomes may be delayed, temporarily inaccurate, or unavailable.
10) Third-Party Integrations (e.g., Discord) Risk
If you choose to link third-party accounts (such as Discord), the Services may use OAuth tokens to establish and maintain the link and to update role connection metadata. Third-party outages, API changes, revocations, account bans, or compromised third-party credentials can disrupt linking or cause unintended account effects. You remain subject to the third party’s separate terms and privacy practices.
11) Third-Party Content, Embeds & Tracking Risk
The Services may display or load third-party content (for example, embedded posts or videos). These third parties may collect data or set their own cookies or similar technologies when you view embedded content. Nightflame does not control third-party tracking behaviors and cannot guarantee the availability, accuracy, or suitability of third-party content.
12) Service Availability & Performance Risk
The Services may experience outages, upgrades, misconfigurations, or external network congestion. You may be unable to verify access, link accounts, or use features when you want to. System performance may degrade during high-demand periods.
13) Cookies, Sessions & Device Configuration Risk
The Services may use cookies or similar technologies (including HttpOnly session cookies) to maintain login state, anti-forgery nonces, or linking flows. If you block cookies or use restrictive browser settings, some features (including token-gated access or third-party linking) may not function correctly. Protect your devices; anyone with access to your browser session may be able to access portions of the Services.
14) Taxation & Reporting
Tax treatment of digital assets is jurisdiction-specific and evolving. You are responsible for determining, reporting, and paying any applicable taxes arising from your digital asset activity (including acquiring assets to access the Services). Where required by law, Nightflame or its service providers may report information to public authorities and may be required to withhold taxes.
15) Regulatory & Legal Risk
Regulation of digital assets and related services is uncertain in many jurisdictions and subject to change. New or amended rules (including securities, commodities, payments, AML/CFT, sanctions, consumer protection, or data-protection laws) could affect your ability to use the Services or impact asset prices and liquidity.
16) Jurisdictional Restrictions
Access to some or all Services may not be lawful in certain jurisdictions or for certain categories of users. You are responsible for understanding and complying with the laws that apply to you, including any sanctions or export-control restrictions.
17) No Fiduciary Duty; No Advice
Nightflame does not act as your broker, agent, or advisor and has no fiduciary duty to you. Communications from Nightflame are not investment, legal, or tax advice. You are solely responsible for evaluating whether use of the Services aligns with your goals and risk tolerance.
18) Operational & Governance Risks (if applicable)
If Nightflame utilizes on-chain governance, DAOs, or multisig arrangements, there is risk of delayed responses, coordination failures, concentrated control, or conflicting incentives among stakeholders that may adversely affect the protocol, treasury, or Service availability.
User Responsibilities
- Safeguard your credentials, keys, and devices.
- Verify addresses, wallet prompts, and official communication channels before connecting or signing.
- Understand how the relevant blockchain(s) and the Services function before transacting or linking accounts.
- Manage browser privacy settings knowingly; blocking cookies may impair access or linking flows.
- Monitor applicable laws, taxes, and reporting obligations.
